Furthermore, by using our Services, you agree that Shortname reserves the right to make changes to, or add additional provisions to our Terms and Policies at any time. Any amended Terms will be effective immediately, and continued use of our Services will confirm your acceptance of the changes. If you do not agree to these Terms, you must stop using our Services immediately.

Shortname reserves the right to revoke the access and or usage rights of any person or entity that violates or abuses our Services, or if required by law. Shortname also reserves the right to store, remove, disclose, or access any information we believe is necessary to satisfy any laws regulations or legal agreements.

Subject to these Terms, Shortname grants you and any other person or entity that uses our Services a worldwide, non-exclusive, non-sublicensable and non-transferable license to use our Services, solely for business or non-commercial use. Shortname and its Services are not responsible for any third-party websites or services that you or any other person or entity link to, and are not liable for any damages or repercussions that using these third-parties will result in. Only you alone are responsible for reading and accepting the Terms & Conditions of these third-party websites that you link to.


4. Eligibility

You agree that you are over 13 years of age. Under no circumstances are you able to use our Services if not, and we reserve the right to terminate your Shortname account and pursue legal action in the event that you prove to be dishonest regarding your age. If you are over 13 years of age but under 18 years of age, you may use our Services only under the supervision of your parent or legal guardian, who agree to be bound by our Terms and to be held fully responsible for any omissions, acts or legal problems made by you while under their care, once you uses our Services.

If you are using our Services on behalf of another entity, person, or group ("Agents"), you agree that you and the Agents you represent are equally bound by Shortname's Terms and Policies, that you are authorized to represent your Agents., and that the Agents will be held equally responsible if you are found violating our Terms. Shortname will not be held responsible for any errors or omissions made by you during the registration process (e.g., if the Agents provides incorrect information).

Shortname will not be held liable for any indirect, incidental, special, or consequential damages, including loss of profits, relating to the use, or the inability to use, its Services, regardless of the form of action, whether in contract, tort (including negligence), or otherwise. Additionally, Shortname and its affiliated parties shall not be liable whatsoever for any losses or damages that you may incur as a result of unauthorized use of its Services arising from "hacking" or otherwise, or for lack of fitness for a particular purpose of the Services.

 

7. User Accounts

By creating a Shortname account ("Account"), you agree to let Shortname hold the information you provide in return for granting you access to our Services. You agree that you alone are responsible for the activity that happens in your Account, and for maintaining the security of your Account. Should another person or entity hold legal claim over a username, Shortname reserves the right to reclaim such titles on their behalf.

You agree to be held fully responsible for the content owned or created by you ("User Content"), and retain all rights to your User Content, including when it is submitted, posted, shared, added, made, modified, uploaded, or distributed using Shortname and its Services. Further, you agree that any damages or difficulties incurred by you or another person or entity arising from your User Content is solely your responsibility, and that Shortname and its Services reserve the right to change, alter, block or remove your User Content in its discretion, at any time,, and without prior notice regardless of the reason. 10. Conduct and Behavior

You agree to be fully held to the standards of behavior expressed in our Terms, and be held solely responsible for your behavior while using our Services. Further, you agree that you will not, nor will you allow any other person or entity, to:

  • Facilitate the creation and distribution of unauthorized or unsolicited advertising, spam, emails, electronic messages, or fraudulent business activities


  • Facilitate the creation or distribution of programs, files, code, data, malware, software viruses, deliberately faulty products, or any other content is deemed harmful, damaging, thievish, obstructive, or negatively impacts Shortname and its Services, Shortname's users, or any third-parties


  • Allow any unauthorized access to the code, data, equipment, systems, servers, information and documents of Shortname and its Services, or third-parties, including User Account information


  • Steal, scrape, datamine, extract, or otherwise illegally collect the information or data of Shortname and its Services, Shortname's users, or third-parties


  • Sell, resell, copy, modify, reproduce, reverse engineer, disassemble  or creative derivative works of the features, aspects, data, algorithms, source code or information of Shortname and its Services, either directly or indirectly, unless required to by law


  • Impersonate any person or entity associated with Shortname and its Services or third-parties, including employees, representatives or Agents


  • Create applications, services, features, or add-ons that interact with Shortname and its Services without our explicit permission


  • Engage in dishonest, deceitful behavior that does not reflect your actual experiences, beliefs or views, which includes any remarks, statements, claims, or comments you make


Shortname and its Services reserve the right to terminate your Accounts, remove your User Content or pursue legal action against you if we find you violating our standards of conduct and behavior or our Terms. Failure on our part to enforce our Terms and standards of behavior, adequately punish the parties engaging in such behavior, or take action within the appropriate amount of time does not constitute us wavering our right to enforce our Terms or standards of behavior.

SHORTNAME, AND ITS ASSOCIATED SERVICES ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND DEFECTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, SHORTNAME ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO SHORTNAME'S SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN TYPES OF WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. If you wish to terminate your Shortname account, you may simply discontinue using our Service or contact Shortname.


15. Governing Law

The laws of Pasig City, excluding its conflicts of law rules, shall govern these Terms and your use of Shortname and its Services. Your use of Shortname may also be subject to other local, state, national, or international laws. You agree that any disputes arising from these Terms or your use of Shortname's Services will be governed by and resolved in the courts of Pasig City and the Philippines.


16. Severability

If any provision of these Terms is held to be unenforceable, unlawful or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect. Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not effect a party's ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.
